Vendor Agreement

Scope

These terms and conditions are applicable to vendors and service providers, who must agree to them. In event that either party fails to comply with these Terms and Conditions, alladin may terminate the provision of their services on the platform. alladin reserves the right to modify these general terms and conditions without giving any justification.

Eligibility Requirements


Alladin shall have absolute discretion as to whether or not it accepts a Service Provider.

Payments


Payments made to the Independent Service Provider are calculated as the agreed price per SKU multiplied by number of SKUs submitted by vendor. Payment to Independent Service Provider will occur only when ALL SKUs have passed Quality Control. The Payment terms applicable are described in Payment Terms Guidelines. All payments to the Independent Service Provider shall be made in Kenya Shillings.

Plagiarism

No plagiarised content shall be posted on the alladin website. You cannot modify, publish, upload, transfer, sell, copy, create derived materials, distribute, transform, display, reverse-engineer or by any other means the content, in part or totality of the website, except with our express written permission or if expressly authorized by the Terms and Conditions of Use of the website.

Content Management

Alladin World of Brands controls the way content is done and we have the right to refuse to publish poorly done content that is not inline with our guidelines.
When writing content for Alladin World of brands, the following is forbidden:

  • - Defamation, abuse, harassment and or any threat.
  • - Any illegal or indecent material for online publication, distribution, defamatory propagation, obscenity, pornography or sexually oriented purposes

Alladin's rights and obligations

The relationship between Service Provider and Vendor is governed by the privacy policy and the general terms and conditions, stipulated by alladin. Alladin will list on the website the services vendor may need

Alladin is authorized to accept payments on behalf of the Service Provider. In order to maintain its reputation for quality and high standard of service, alladin reserves the right to terminate the relationship with the Service Provider if the Service Provider repeatedly rejects jobs, receives bad reviews or complaints, or fails to comply with alladin recommendations.

Alladin reserves the right to modify this general terms and conditions without giving any justification. In that case, Alladin will give the Vendor and/or Service provider adequate notice via email. The notice will contain advice on the right and period of objection to the changes, and on the consequences of leaving unexercised the right to object.

All communications will be done through emails

Vendor's rights and obligations

The Vendor is obliged to provide all the information necessary when creating a product master sheet. This should include but is not limited to, a detailed title (product name), brand, taxation class (16% or zero), price, quantity, picture/images, and description.

The Vendor will be responsible for selecting and hiring Service Provider of own choice.

The Vendor has the right to request for service improvement if not satisfied by what has been done, based on the product master sheet vendor submitted.

The Vendor will not receive any refund for services paid for in the instance that they change their mind in the middle of a job process.

Service Provider's rights and obligations

The Service Provider is obliged to provide all service(s) has listed to offer and has been hired by Vendor to offer such service(s).

The Service Provider has the right to opt out of the platform or stop offering services by deactivating his/her account.

The Service Provider has the right to ask for further information regarding a product if the Mastersheet is not clear, or such information is missing.

Service Level Agreement (SLA)

All Service Providers must read and understand the SLAs and strictly adhere to them.

Termination of Services

This agreement is valid as soon as the Service Provider signs the SLA, and remains valid indefinitely, until termination by either party. Termination can occur at any time, either by Service Provider deactivating himself/herself from the Platform or by Alladin

Alladin has the discretionary right to discontinue the use of any Service Provider at any time.

Quality of Service

All nature of services provided must meet the recommended standards as stipulated by Alladin. Where they do not:

  • - Meet the requirement as provided in Alladin Standard Guidelines
  • - Pass approval of Alladin's Quality Control

The Independent Service Provider is mandated to improve the particular service upon request at “no extra cost”

Handling, Storing and Damaging Vendor Products

All products received by Service Provider as sample must be properly handled, stored and cared for. In event that product(s) are damaged in the care of service provider, such product(s) will be fully paid for by the Service Provider.

Liability

The Vendor indemnifies Alladin from all claims arising in relation to matters outside Alladin's control, including but not limited to damage of products in the care of Service Providers.

Privacy

All parties are obliged to treat confidentially the content of this agreement, as well as all other information and data they acquire in connection with the partnership, and not use it for purposes outside the scope of this contract or pass it on to third parties.

Acknowledgment of Agreement

By proceeding you acknowledge to have read, understood and agreed to the terms and conditions as stated above. You consent that this 'Terms and Conditions' is the exclusive definition of the mutual agreement between you (service provider and/or vendor) and Alladin which prevails upon any other former written or verbal agreement or any other communication between you and Alladin related to this contract.
